Terms of Service

1. Acceptance of Terms

By accessing or using Reimber's website, platform, or services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Reimber provides a cloud-based accounts receivable automation platform including collections management, cash application, credit risk assessment, dispute resolution, analytics, and related services as described on our website and in any applicable Order Form.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription & Billing

Paid subscriptions are billed in advance on a monthly or annual basis as specified in your Order Form. All fees are non-refundable except as expressly stated in these Terms. Prices may be updated upon renewal with 30 days prior written notice.

5. Your Data

You retain all rights to data you upload to or process through the Services ("Customer Data"). You grant Reimber a limited license to host, process, and transmit Customer Data solely to provide the Services. We will not access, use, or share Customer Data except as necessary to provide the Services or as required by law.

6. Acceptable Use

You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to gain unauthorized access to any systems; (c) interfere with the proper functioning of the Services; (d) reverse-engineer or attempt to extract the source code; (e) resell or redistribute the Services without authorization.

7. Service Level Agreement

Reimber commits to 99.99% uptime for the core platform as measured monthly. Scheduled maintenance windows are excluded. Service credits are available for downtime exceeding the SLA as outlined in your Order Form.

8. Intellectual Property

Reimber and its licensors retain all intellectual property rights in the Services, including software, algorithms, documentation, and trademarks. These Terms do not grant you any rights to use Reimber's branding or trademarks without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, Reimber's total cumulative liability for any claims arising from or related to these Terms shall not exceed the amounts paid by you in the 12 months preceding the claim. In no event shall Reimber be liable for indirect, incidental, consequential, or punitive damages.

10. Termination

Either party may terminate these Terms with 30 days written notice. Reimber may suspend or terminate your access immediately if you violate these Terms. Upon termination, you may export your Customer Data for 30 days, after which it will be deleted.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in San Francisco, California under the rules of the American Arbitration Association.
